DISCOVER KENMORE 2026 VENDOR CONTRACT

The individual signing this contract is an authorized representative of the company with full power and authority to sign and deliver this contract. A signature (check box) on this application indicates understanding and agreement to comply with all policies, including but not limited to the Exhibitor Terms and Conditions and any other policies issued by the Kenmore Business Association regarding Discover Kenmore.

Contract between (hereinafter known as VENDOR) and Kenmore Business Association for operation of Discover Kenmore 2026.

Both parties agree as follows:

A. RESPONSIBILITIES OF THE KENMORE BUSINESS ASSOCIATION
The Kenmore Business Association will provide a 10’ x 10’ access area to the VENDOR’s booth(s) at the agreed-upon number listed in the vendor contract.

B. RESPONSIBILITIES OF THE VENDOR
The VENDOR must set up their booth at the assigned time provided by event promoters. Load-in will be Saturday from 9:00 AM to 10:00 AM. Teardown may not begin until the conclusion of the event at 4:00 PM. VENDOR must bring their own table, chairs, and tent.

The VENDOR may not sell, sublet, or donate space in their booth for advertising or promotion of any third party without written consent from the Kenmore Business Association.

The VENDOR must operate in compliance with all State and Federal regulations and be properly permitted to operate within New York State.

The VENDOR is responsible for paying all applicable federal, state, and local taxes. If applicable, a valid sales tax certificate must be obtained and displayed at the booth.

The VENDOR agrees to pay all fines or penalties levied due to non-compliance with any Federal, NYS, or local law (including but not limited to those governed by the DEC, OSHA, FCC, DOL, DOH, and EPA) and to reimburse the Kenmore Business Association for any related penalties incurred.

VENDORS must arrange any electrical or phone line requirements directly with the Kenmore Business Association.

Food vendors, including those offering samples, must hold valid Health Department Permits from the Erie County Health Department (716-858-7690). A copy of both the health permit and the sales tax certificate must be on display if conducting sales.

The VENDOR may not operate any gambling, games of skill, or games of chance within their booth.

C. GENERAL TERMS & JOINT RESPONSIBILITIES
Booth placement and sales locations are at the sole discretion of the Kenmore Business Association.

The Kenmore Business Association and VENDOR act as independent contractors. Nothing in this contract shall be interpreted as creating an employer–employee, principal–agent, or joint venture relationship.

The VENDOR, including affiliates and subsidiaries, agrees to defend, indemnify, and hold harmless the Kenmore Business Association and its affiliates, agents, officers, and employees from any claims, damages, or liabilities (including reasonable attorney fees) arising from this agreement, except in cases of the Association’s sole negligence or intentional misconduct.

Submission of this application constitutes a commitment. Full payment for booth rental must accompany this signed contract. No refunds will be issued. If a vendor fails to occupy their booth by the event’s start time, the Kenmore Business Association may reassign the space as deemed appropriate. The vendor remains bound to all contract terms and fees.

The event does not have a rain date and will proceed rain or shine unless conditions are deemed unsafe by organizers.

The Discover Kenmore Organizers are not liable for claims, losses, damages, or expenses arising from event prevention, postponement, or venue unavailability. The Organizers may, at their discretion, issue partial refunds but hold no obligation to do so. If the event must be postponed, relocated, or rearranged, this contract remains binding except for necessary modifications to booth size or positioning.

Exhibitors may not share or sublet their booth space without written consent from the Discover Kenmore Organizers.

Security services are not provided for individual booth spaces.

The use of the Kenmore Business Association name and/or logo on displays, signs, giveaways, or promotional materials requires written approval. All design concepts and promotional materials using the KBA brand must be reviewed and approved before printing.
